If you do not agree to these Terms, you must immediately cease using the Platform. BoAnalyst is an entertainment and informational platform providing movie analysis, box office data, industry insights, community forums, and subscription-based premium features.

Legal Agreement: This is a legally binding contract between you and BoAnalyst. By clicking "I Agree," creating an account, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility & Account Registration

2.1 Age Requirement:

You must be at least 13 years old to use this Platform. Users between 13-18 years must have parental/guardian consent. By using BoAnalyst, you represent and warrant that you meet these age requirements.

2.2 Account Creation:

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access
• One person or entity may not maintain more than one account
• Accounts are non-transferable

2.3 Account Security:

You agree to use a strong password and enable any available security features. We are not liable for losses due to unauthorized account access resulting from your failure to maintain account security.

3. Platform Services & Description

BoAnalyst provides the following services for entertainment and informational purposes:

• Free Tier: Basic movie analysis, box office data, community forum access (view, post, reply)
• Premium Monthly (₹299/month): Advanced analytics, AI chatbot, Inside Talks access, priority support
• Premium Yearly (₹1,499/year): All Premium features with 58% savings (equivalent to ₹124.92/month)
• Distributors Hub (₹69,999/year): Exclusive premium industry intelligence, spiritual market analysis, investment guidance, VIP consultation

3.1 Inside Talk Feature Disclaimer:

Important Notice: The "Inside Talk" feature provides industry insights, analysis, and predictions that are derived exclusively from our internal research, analytical methodologies, and proprietary forecasting models. All content presented in Inside Talk represents our independent assessments and does not constitute information obtained from, attributed to, or endorsed by any external sources, industry insiders, studios, distributors, or third parties. Users acknowledge that Inside Talk content is speculative in nature and provided solely for entertainment and informational purposes.

Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any service with or without notice.

4. User Conduct & Prohibited Activities

4.1 Acceptable Use:

You agree to:

• Use the Platform for lawful, entertainment, and informational purposes only
• Provide accurate information in all communications
• Respect other users and maintain civil discourse in forums
• Comply with all applicable local, state, national, and international laws

• Impersonate any person or entity
• Distribute viruses, malware, or harmful code
• Use the Platform for commercial purposes without written authorization
• Create multiple accounts to circumvent restrictions
• Share your account credentials with others

4.3 Consequences:

Violation of these terms may result in immediate account suspension or termination, legal action, and reporting to law enforcement authorities.

5. Subscription Terms & Billing

5.1 Subscription Plans:

• Premium Monthly: ₹299/month, billed monthly, auto-renewal
• Premium Yearly: ₹1,499/year, billed annually, auto-renewal
• Distributors Hub: ₹69,999/year, billed annually, premium industry intelligence access

5.1.1 Distributors Hub - Premium Industry Intelligence:

IMPORTANT NOTICE: The Distributors Hub is an exclusive premium service designed for industry leaders, distributors, and key stakeholders in the entertainment industry. This service provides:

• Early insider updates on movie projects and industry developments
• Advanced box office predictions and comprehensive market analysis
• Investment recommendations for movie distribution and acquisition
• Strategic guidance on which movies to buy, distribute, or avoid
• Exclusive industry intelligence reports and market insights
• Access to premium network of verified industry professionals
• VIP support and personalized consultation services

MANDATORY ACKNOWLEDGMENT FOR DISTRIBUTORS HUB: By subscribing to the Distributors Hub, you explicitly acknowledge and agree that:

• You have carefully read, understood, and accepted these complete Terms & Conditions
• The ₹69,999 annual payment is 100% NON-REFUNDABLE under any circumstances
• All analysis and recommendations are primarily based on spiritual, intuitive, and metaphysical methodologies rather than purely empirical or physical data
• BoAnalyst bears no responsibility for any financial losses, business decisions, or investment outcomes
• You are subscribing at your own risk and discretion

5.2 Payment Processing:

All payments are processed securely through Razorpay. By subscribing, you authorize us to charge your payment method for the subscription fee plus applicable taxes.

5.3 Auto-Renewal:

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription rate.

5.4 Price Changes:

We reserve the right to change subscription prices with 30 days' notice. Price changes will not affect your current billing cycle.

5.5 Taxes:

All prices are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription.

5.6 Payment Failures:

If payment fails, we may suspend your access to premium features until payment is resolved. Repeated payment failures may result in account termination.

6. Refund & Cancellation Policy

6.1 ABSOLUTE NO REFUND POLICY:

ALL SUBSCRIPTION PAYMENTS ARE FINAL AND COMPLETELY NON-REFUNDABLE. This policy applies to all plans, with special emphasis on the Distributors Hub (₹69,999/year). We do not provide refunds, credits, chargebacks reversal, or prorated refunds for:

• Partial billing periods or unused subscription time
• Dissatisfaction with services or unmet expectations
• Account termination (voluntary or involuntary)
• Technical issues, service interruptions, or downtime
• Change of mind after purchase or subscription activation
• Business losses, investment failures, or poor recommendations
• Disagreement with spiritual/intuitive analysis methodologies
• Market changes or external factors affecting predictions
• Force majeure events or circumstances beyond our control

DISTRIBUTORS HUB SPECIFIC WARNING: The ₹69,999 annual payment for Distributors Hub is particularly emphasized as COMPLETELY NON-REFUNDABLE. Once payment is processed, no refund will be issued under any circumstances whatsoever, including but not limited to business failures, market downturns, inaccurate predictions, or any other reason.

6.2 Cancellation Process:

• You may cancel your subscription anytime through Account Settings
• Cancellation takes effect at the end of your current billing period
• You retain access to premium features until the end of your paid period
• No refunds will be issued for the remaining subscription period
• Cancelled subscriptions do not auto-renew

6.3 Exceptions:

Refunds may be considered only in cases of: (a) duplicate charges due to technical error, (b) charges after cancellation due to our error, (c) as required by applicable law. All refund requests must be submitted within 7 days of the charge.

7. Digital Service Delivery Policy

7.1 Instant Digital Delivery:

BoAnalyst is a 100% digital platform. All services are delivered electronically through your account.

• Minimum Delivery Time: Instant activation upon successful payment verification
• Maximum Delivery Time: Up to 24 hours if payment verification is delayed
• Delivery Method: Automatic activation of premium features in your existing account
• No Physical Products: No physical goods are shipped. All services are digital.

7.2 Access Issues:

If you experience access issues after payment, contact support@boanalyst.com with your transaction ID.

8. Intellectual Property Rights

8.1 Platform Ownership:

BoAnalyst owns all rights, title, and interest in:

• Platform design, code, features, and functionality
• BoAnalyst logo, trademarks, and branding
• Original content, analysis, and compilations
• Database structures and organization

8.2 User-Generated Content:

You retain copyright to your original forum posts, reviews, and comments. By posting, you grant BoAnalyst a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content.

8.3 Third-Party Content:

Movie data, box office information, and industry insights are compiled from publicly available sources. We respect intellectual property rights of studios, distributors, and content creators.

8.4 Fair Use:

We use movie-related content under fair use principles for commentary, criticism, news reporting, and educational purposes.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties of uninterrupted, timely, secure, or error-free service
• Warranties that defects will be corrected

9.1 Entertainment & Informational Purpose:

All movie analysis, box office data, predictions, and insights (including but not limited to Inside Talk content and Distributors Hub intelligence) are provided for entertainment and informational purposes only. We do not guarantee accuracy, reliability, or completeness of any content. You should not make investment, business, financial, or professional decisions based solely on our content.

10. COMPREHENSIVE LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOANALYST SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Damages arising from use or inability to use the Platform
• Damages from unauthorized access to your account
• Damages from errors, viruses, or harmful components
• Damages from third-party content or conduct
• Investment losses, business failures, or financial damages resulting from acting upon our recommendations
• Poor movie performance, box office failures, or distribution losses
• Inaccurate spiritual insights, metaphysical predictions, or intuitive guidance
• Market fluctuations, industry changes, or external factors affecting entertainment business
• Consequences of relying on astrological, spiritual, or energy-based analysis for business decisions

DISTRIBUTORS HUB ABSOLUTE LIABILITY DISCLAIMER: Specifically for Distributors Hub subscribers (₹69,999/year), BoAnalyst accepts ZERO LIABILITY for:

• Any financial losses regardless of magnitude
• Failed movie investments or distribution deals
• Inaccurate market predictions or industry insights
• Spiritual or metaphysical analysis proving incorrect
• Business decisions made based on our premium intelligence
• Any damages exceeding ₹0 (zero rupees)

Maximum Liability: Our total liability for all claims shall not exceed ₹0 (zero rupees) for Distributors Hub subscribers, and ₹1000 for other subscribers, regardless of the amount paid.

Jurisdictional Limitations: Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you. However, by subscribing you agree to these terms to the fullest extent legally permissible.

11. Indemnification

You agree to indemnify, defend, and hold harmless BoAnalyst, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your user-generated content
• Your breach of any representations or warranties

12. Account Termination

12.1 Termination by You:

You may delete your account anytime through Account Settings. Deletion is permanent and irreversible.

12.2 Termination by Us:

We reserve the right to suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abusive behavior toward other users or staff
• Non-payment of subscription fees
• Extended period of inactivity
• Any reason at our sole discretion

12.3 Effect of Termination:

Upon termination, your right to use the Platform ceases immediately. No refunds will be issued. We may delete your data per our data retention policy.

13. Dispute Resolution & Governing Law

13.1 Governing Law:

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction:

Any disputes shall be subject to the exclusive jurisdiction of courts in India.

13.3 Arbitration:

Before filing any lawsuit, you agree to attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration under Indian Arbitration and Conciliation Act, 1996.

13.4 Class Action Waiver:

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use after changes constitutes acceptance. Material changes will be notified via email or prominent platform notice. If you disagree with changes, you must stop using the Platform.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Copyright Policy, constitute the entire agreement between you and BoAnalyst regarding use of the Platform and supersede all prior agreements.

17. No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

19. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
